These Terms of Service ("Agreement") govern your use of bluehorsellc.com, which is owned and operated by Blue Horse LLC; Counseling & Consulting ("Company," "we," "us," or "our"). This Agreement documents the legally binding terms and conditions attached to the use of the Site at bluehorsellc.com. Please read these Terms of Service completely before using the Site.
By using or accessing the Site in any way, viewing or browsing the Site, or adding your own content to the Site, you agree to be bound by these Terms of Service. If you do not agree to any provision of this Agreement, please do not use or access the Site.
Intellectual Property
The Site and all of its original content are the sole property of Blue Horse LLC; Counseling & Consulting and are, as such, fully protected by the appropriate United States and international copyright and other intellectual property rights laws.
Restrictions
You are specifically restricted from all of the following:
• publishing any Site material in any other media;
• selling, sub-licensing, and/or otherwise commercializing any Site material;
• publicly performing and/or showing any Site material;
• using this Site in any way that is or may be damaging to this Site;
• using this Site in any way that impacts user access to this Site;
• using this Site contrary to applicable laws and regulations, or in any way that may cause harm to the Site, or to any person or business entity;
• engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to this Site;
• using this Site to engage in any advertising or marketing.
Informational Purposes Only
This Site and its components are offered for informational purposes only. The Site does not constitute, and is not a substitute for, professional medical, psychological, or mental health advice, diagnosis, or treatment. Nothing on the Site creates a therapist-client relationship. Company shall not be responsible or liable for the accuracy, usefulness, or availability of any information transmitted or made available via the Site, and shall not be responsible or liable for any errors or omissions in that information. If you are experiencing a mental health emergency, call 911 or the 988 Suicide & Crisis Lifeline immediately.
Scope of Services and Telehealth
Company provides psychotherapy and consultation services in accordance with applicable state law and professional licensure. Telehealth services are offered only to clients physically located in states where the provider is licensed to practice at the time of service, which are currently Texas, Rhode Island, Connecticut, and New York. Provision of services is subject to a separate clinical services agreement and informed consent completed with the client. Use of this Site does not by itself establish a clinical relationship or a commitment to provide services.
No Therapist-Client Relationship Through the Site
Use of the Site does not create a therapist-client, counseling, or professional relationship between you and Company. A professional relationship is established only after you have completed intake, executed a written clinical services agreement, and provided informed consent. Nothing on the Site should be relied upon as a substitute for individualized professional care.
Eligibility and Age Restriction
The Site is intended for use by adults 18 years of age or older. The Site is not directed to children, and we do not knowingly collect personal information from anyone under the age of 18. If you are under 18, please do not use the Site or submit any personal information through it.
Electronic Communications
Communications sent through the Site, by email, or through web-based contact or intake forms are not guaranteed to be secure, encrypted, or confidential. You should not transmit clinical, medical, or other sensitive health information through the Site or by unencrypted email. Do not use these channels for emergencies. Secure methods for exchanging protected health information will be arranged directly with clients as part of the clinical relationship.
Good Faith Estimate
Under the federal No Surprises Act, clients who are uninsured or who choose not to use insurance (self-pay) have the right to receive a Good Faith Estimate of the expected cost of services. Company will provide a Good Faith Estimate upon request and before scheduling services, as required by law. A separate Good Faith Estimate notice may be posted on the Site.
Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect information submitted through the Site. Company's handling of protected health information in connection with clinical services is separately governed by our Notice of Privacy Practices under the Health Insurance Portability and Accountability Act (HIPAA). Please review these documents, available on the Site or upon request.
Client Responsibility
Every therapeutic service offered is designed in good faith to help support client recovery. Client accepts and agrees that Client is 100% responsible for their own progress and results from the Services. Company makes no representations, warranties, or guarantees, verbally or in writing. Client understands that, because of the nature and extent of the services, the results experienced by each client may significantly vary. Client acknowledges that, as with any personal or business endeavor, there is an inherent risk and there is no guarantee that Client will reach their goals as a result of participation in the Services. Education and information are intended for a general audience and do not purport to be, nor should they be construed as, specific advice tailored to any individual. Company assumes no responsibility for errors or omissions that may appear in any service materials.
Severability / Waiver for Counseling & Consultation
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall nevertheless continue in full force. The failure of either Party to exercise any right provided for herein will not be deemed a waiver of that right or any further rights hereunder.
Limitation of Liability
Client agrees that they used Company's counseling or consultation services at their own risk and that Services are being provided in good faith by a licensed professional. Client releases Company and its officers, employees, directors, subsidiaries, principals, agents, heirs, executors, administrators, successors, assigns, instructors, guides, staff, participants, and related entities in any way, as well as the venue where the Services are being held (if applicable) and any of its owners, executives, agents, or staff (the Releasees), from any and all damages that may result from any claims arising from any agreements, and all actions, causes of action, contracts, claims, suits, costs, demands, and damages of whatever nature or kind in law or in equity arising from participation in the Services. Client accepts any and all risks, foreseeable or unforeseeable. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from, including but not limited to, direct, indirect, incidental, special, negligent, consequential, or exemplary damages arising from the use or misuse of Company's services. Company assumes no responsibility for errors or omissions that may appear in any of the service materials. Nothing in this Agreement limits any liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Company and its officers, employees, agents, and related entities from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Site, your violation of this Agreement, or your violation of any rights of a third party.
Testimonials and Results
Any testimonials, reviews, or examples appearing on the Site reflect individual experiences and are not a guarantee that you will achieve the same or similar results. Results vary based on individual circumstances. Company does not solicit testimonials from current clients and complies with applicable professional and licensing-board rules regarding testimonials and advertising.
Termination
Blue Horse LLC; Counseling & Consulting reserves the right to terminate your access to the Site, without any advance notice.
Links to Other Websites
Our Site may contain links to other websites and online resources that are not owned or controlled by Blue Horse LLC; Counseling & Consulting. Company has no control over, and therefore cannot assume responsibility for, the content or general practices of any of these third-party sites and/or services. We strongly advise you to read the entire terms and conditions and privacy policy of any site that you visit as a result of following a link that is posted on our Site.
Governing Law
This Agreement is governed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Dispute Resolution and Venue
You agree that any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Site shall be brought exclusively in the state or federal courts located in the State of Texas [insert county], and you consent to the personal jurisdiction and venue of those courts. Nothing in this section limits any right you may have under applicable state law.
Entire Agreement, Assignment, and Force Majeure
This Agreement, together with any documents expressly incorporated by reference (including the Privacy Policy), constitutes the entire agreement between you and Company regarding your use of the Site and supersedes any prior agreements on that subject. You may not assign or transfer your rights under this Agreement without our prior written consent; Company may assign its rights and obligations without restriction. Company will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, power or internet outages, or other events of force majeure.
Changes to This Agreement
Blue Horse LLC; Counseling & Consulting reserves the right to modify these Terms of Service at any time. We do so by posting and drawing attention to the updated terms on the Site. Your decision to continue to visit and make use of the Site after such changes have been made constitutes your formal acceptance of the new Terms of Service.
We therefore ask that you check and review this Agreement for such changes on an occasional basis. Should you not agree to any provision of this Agreement or any changes we make to this Agreement, we ask and advise that you do not use or continue to access the Site immediately.
